Terms of Service

These Terms of Service, together with our End User License Agreement below (collectively, the "Terms"), govern your access to and use of the software, applications, and integrations operated by Hidden Facets Inc. ("Hidden Facets," "we," "us," or "our"), including internal applications that connect to third-party services such as Intuit QuickBooks Online (the "Software"). By using the Software or authorizing one of our integrations to connect to your account, you agree to these Terms. If you do not agree, do not use the Software.

Our Software is provided for internal business use by Hidden Facets Inc. It is not a public consumer product, and access is limited to authorized users.

1. License grant

Subject to your compliance with these Terms, Hidden Facets grants you a limited, non-exclusive, non-transferable, revocable license to use the Software for its intended internal business purpose. This license does not transfer any ownership rights in the Software.

2. Authorized connections

When you connect a third-party account (such as Intuit QuickBooks Online) to the Software, you authorize us to access, retrieve, and store data from that account on your behalf, using the permissions you grant during the authorization flow. You represent that you have the authority to grant this access for the account you connect.

3. Acceptable use

You agree not to:

  • Use the Software for any unlawful purpose or in violation of any applicable law or third-party terms, including Intuit's Developer Terms of Service.
  • Attempt to gain unauthorized access to the Software, its infrastructure, or any connected account.
  • Reverse engineer, decompile, or disassemble the Software except to the extent permitted by law.
  • Interfere with or disrupt the integrity or performance of the Software or connected services.

4. Data

Our handling of data accessed through the Software is described in our Privacy Policy, which is incorporated into these Terms by reference. You may revoke our access to any connected account at any time through that service's settings.

5. Third-party services

The Software integrates with third-party services that are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of those services. Intuit, QuickBooks, and related marks are trademarks of Intuit Inc.; Hidden Facets is an independent developer and is not endorsed by or affiliated with Intuit.

6. Intellectual property

The Software, including its code, design, and content, is owned by Hidden Facets and protected by intellectual property laws. Except for the limited license granted above, no rights are transferred to you.

7. Disclaimer of warranties

The Software is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure, or that any data it processes will be accurate or complete.

8. Limitation of liability

To the maximum extent permitted by law, Hidden Facets and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Software, even if advised of the possibility of such damages. Our total liability for any claim relating to the Software will not exceed one hundred U.S. dollars (USD $100).

9. Termination

We may suspend or terminate your access to the Software at any time, with or without notice, for any reason, including a breach of these Terms. Upon termination, the license granted to you ends and you must stop using the Software. Sections that by their nature should survive termination will survive.

10. Governing law

These Terms are governed by the laws of the State of Vermont, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Vermont.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Software after a change constitutes acceptance of the updated Terms.
