End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (the "User") and Hidden Facets Inc. ("Hidden Facets," "we," "us," or "our") governing your use of the software, applications, and integrations we operate, including internal applications that connect to third-party services such as Intuit QuickBooks Online (the "Software"). By installing, accessing, authorizing, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not use the Software.

The Software is licensed for internal business use by Hidden Facets Inc., not sold. It is not a public consumer product, and access is limited to authorized users.

1. License grant

Subject to your continued compliance with this Agreement, Hidden Facets grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for its intended internal business purpose. No rights are granted except as expressly set out here.

2. Restrictions

You may not, and may not permit any third party to:

  • Copy, modify, adapt, translate, or create derivative works of the Software except as permitted by law;
  • Reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code;
  • Sell, rent, lease, sublicense, distribute, or otherwise commercially exploit the Software;
  • Remove or alter any proprietary notices; or
  • Use the Software in violation of any applicable law or of any third-party terms, including Intuit's Developer Terms of Service.

3. Authorized connections

When you connect a third-party account (such as Intuit QuickBooks Online) to the Software, you authorize the Software to access, retrieve, and store data from that account on your behalf, using the permissions you grant during authorization. You represent that you have the authority to grant this access. You may revoke it at any time through that service's settings.

4. Ownership

The Software is licensed, not sold. Hidden Facets and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not transfer any ownership to you.

5. Data

Our handling of data accessed through the Software is described in our Privacy Policy. Your use of the Software is also subject to our Terms of Service. Each is incorporated into this Agreement by reference.

6. Third-party services and trademarks

The Software integrates with third-party services governed by their own terms. We are not responsible for those services. Intuit, QuickBooks, and related marks are trademarks of Intuit Inc.; Hidden Facets is an independent developer and is not endorsed by or affiliated with Intuit.

7. Disclaimer of warranties

The Software is provided "as is" and "as available," without warranties of any kind, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or secure.

8. Limitation of liability

To the maximum extent permitted by law, Hidden Facets will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising out of or relating to the Software. Our total liability for any claim will not exceed one hundred U.S. dollars (USD $100).

9. Term and termination

This Agreement is effective until terminated. We may suspend or terminate your license at any time, with or without notice, if you breach this Agreement or for any other reason. On termination, you must stop using the Software. Sections that by their nature should survive termination will survive.

10. Governing law

This Agreement is governed by the laws of the State of Vermont, United States, without regard to conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in Vermont.

11. Changes

We may update this Agreement from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Software after a change constitutes acceptance of the updated Agreement.
